Florida has its own rules that can matter in an MCA dispute. The Florida Commercial Financing Disclosure Law (Fla. Stat. §§ 559.961–559.9615) requires providers to give written disclosures for many commercial financing transactions consummated on or after January 1, 2024. Separately, Fla. Stat. § 55.05 treats powers of attorney to confess judgment signed before a lawsuit as void. Whether either applies to your agreement depends on its terms, date, amount and governing-law clause, so the documents need review.

Are confessions of judgment enforceable in Florida?+
Fla. Stat. § 55.05 declares powers of attorney to confess judgment made before a lawsuit void. If a funder obtained a confessed judgment in another state, such as New York, and tries to enforce it in Florida, the agreement, where it was signed and the applicable law should be reviewed promptly.
How long do I have to respond to an MCA lawsuit in Florida?+
In Florida state court, a defendant generally has 20 days after service to respond to a complaint. Deadlines can differ in other states or federal court, so contact an attorney as soon as you’re served.
Does Florida require disclosures for merchant cash advances?+
For many commercial financing transactions consummated on or after January 1, 2024, the Florida Commercial Financing Disclosure Law requires providers to give written disclosures of key terms. Coverage depends on the transaction’s amount, structure and parties, and a disclosure issue does not automatically cancel an MCA.
Can a funder sue me outside Florida if my contract chose New York law?+
Many MCA agreements include New York choice-of-law or forum clauses. Where a case proceeds depends on those clauses, how you were served and the courts involved, so review is needed before responding.
