Merchant Cash Advance Assistance for California Business Owners

For a California business considering MCA debt settlement, the original financing offer can be as important as the signed agreement. Compare the promised funding, disclosed cost, estimated payment schedule and actual withdrawals. California’s commercial financing disclosure regulations took effect on December 9, 2022; whether they cover a particular transaction requires review.
California requires specified disclosures for certain covered commercial financing transactions, including sales-based financing, under Financial Code Division 9.5 and applicable DFPI regulations. Depending on the transaction, required disclosures may address the amount of funds provided, finance charge, total repayment amount, estimated term, payment amounts, prepayment terms, and an annualized rate. In an MCA matter, our attorneys may review the signed agreement alongside the original offer and disclosure documents to evaluate compliance and potential legal issues. These disclosure requirements do not, by themselves, determine whether an MCA is a loan, whether a default occurred, or the outcome of a lawsuit or MCA UCC dispute.

Check the court named in the papers

If your California business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.

The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.

Already received court papers? Tell the attorney when you contact us. Requesting a review or negotiating with a funder does not itself extend a court deadline or stop collection activity.

How We Help

  • Compare the MCA offer, required disclosures, signed agreement and actual funding for potential discrepancies.
  • Evaluate lawsuits, judgment records, service and possible challenges with appropriately admitted counsel.
  • Review disputed ACH withdrawals, bank restraints and available requests for relief; results depend on the facts, law and creditor or court action.
  • Negotiate possible lump-sum or structured settlements and review written release and payment terms.
  • Review multiple MCA agreements together for potential negotiated restructuring; Business Debt Law Group does not provide consolidation financing.

What Happens When You Call Us

Navigate the complexities of MCAs in California with our structured approach.
1

Tell us what is happening

Explain the MCA payments, funder demands, or lawsuit affecting your California business. Flag any court deadline or restrained account. The initial MCA review or case evaluation is free; no lawsuit is required.
2

Review the documents

Review the agreements, withdrawals, guarantees, notices, and filing history, including any court papers, account restrictions, or disputed withdrawals. A review does not itself suspend payments or court requirements.
3

Discuss possible options

Where appropriate, we communicate with MCA funders or their counsel to pursue workable settlement or revised payment terms based on the circumstances.
4

Agree on the work

If you hire the firm, the engagement sets out the scope, fees, and responsibility for court appearances or local-counsel involvement. Retained legal services have separate fees, explained before representation begins. Any outcome depends on the facts, applicable law, and creditor or court action.

Common Questions

MCA Debt: Frequently Asked Questions

Can I request help before I miss an MCA payment?+
Yes. Explain the total daily or weekly withdrawals and how they affect your business. Bring each agreement so the review considers the combined MCA obligations. A lawsuit or missed payment is not required to request a free review.
Do California commercial financing disclosure rules apply to every MCA?+
No. Whether California’s commercial financing disclosure requirements apply depends on the transaction structure, amount, date, parties involved, statutory definitions, and applicable exceptions. The specific MCA agreement and offer documents should be reviewed before determining whether the requirements apply.
Are confessions of judgment enforceable in California?+
Generally not in California courts. Since January 1, 2023, Code of Civil Procedure § 1132 provides that a judgment by confession is unenforceable and may not be entered in any superior court, though earlier confessions are excepted. Many MCA contracts choose New York law and courts, and a judgment entered in another state can raise separate enforcement questions, so prompt review of your situation is important.
Does a California disclosure violation automatically cancel an MCA agreement?+
Not necessarily. A potential disclosure issue should not be assumed to invalidate or cancel an MCA agreement automatically. Any available remedies, defenses, or legal strategies depend on the applicable law, agreement, and specific circumstances.
How long do I have to respond to an MCA lawsuit in California?+
In California superior court, the summons generally directs a defendant to file a written response within 30 days after service (Code Civ. Proc. § 412.20(a)(3)). Federal court and out-of-state cases, including New York suits brought under a forum-selection clause, follow different rules and timelines. Read your summons closely and act promptly, since missing a deadline can lead to a default judgment.
What should a California business do if an MCA funder files a lawsuit in another state?+
Preserve the complaint, summons, service documents, MCA agreement, and related communications, and identify any response deadline promptly. Jurisdiction, service, choice-of-law provisions, and forum-selection clauses should be reviewed by appropriately admitted counsel before determining the appropriate response.
