Understand MCA UCC issuesWyoming’s Secretary of State explains that certified UCC searches are available through its e-filing subscription or a UCC11 information request. Its resources also distinguish UCC searches from EFS searches. Obtain the relevant record under the correct debtor name and compare it with the company’s formation documents, the MCA agreement and any personal guarantee. A company name alone does not establish an owner’s individual liability.
Identify who received the advance, who made payments and who signed in an individual capacity. If the company has changed its name or the owner has signed more than one guarantee, provide the complete history. If your Wyoming business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.
The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.
