The Secretary of the Commonwealth provides a UCC database and a UCC11 information-request form. For multiple MCAs, preserve the scope and date of the search as well as the documents. A short list of current funder names may not capture the history needed to understand overlapping claims.

Compare a new payment with the obligations it actually replaces

A lower advertised daily payment is not a complete comparison. List which MCAs would be paid off, which remain, new fees, repayment duration and release terms. If the proposal leaves old funders unpaid or adds another guarantee, include those effects. The legal review should also address any existing lawsuit independently of a proposed funding transaction.

Check the court named in the papers

If your Massachusetts business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.
