Utah regulates covered commercial financing through registration and disclosures

Utah’s Department of Financial Institutions administers the Commercial Financing Registration and Disclosure Act under Title 7, Chapter 27. Its official guidance describes registration and disclosure requirements and applicable exemptions, with provider-registration verification through NMLS Consumer Access. Whether a particular MCA is covered requires review of the transaction and law. A registration concern does not automatically eliminate a contractual obligation or establish a specific remedy.

Keep the disclosure package with the actual funding evidence

Compare the amount offered, deductions, net deposit, total payment obligation and withdrawal schedule. For a renewal, identify the portion used to pay an earlier advance. If figures or explanations differ across documents, preserve the versions and dates. Check the court named in the papers

If your Utah business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.

The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.

Can I request help before I miss an MCA payment?+
Yes. Explain the total daily or weekly withdrawals and how they affect your business. Bring each agreement so the review considers the combined MCA obligations. A lawsuit or missed payment is not required to request a free review.
Does Utah regulate merchant cash advances?+
Yes, to a degree. Utah's Commercial Financing Registration and Disclosure Act (Utah Code Title 7, Chapter 27), effective January 1, 2023, generally requires many commercial financing providers, including merchant cash advance funders, to register with the Department of Financial Institutions and give cost disclosures on transactions of $1 million or less. It does not create a private lawsuit right, and exemptions apply.
Are confessions of judgment enforceable in Utah?+
Utah law generally allows judgments by confession (Utah Code 78B-5-205). Since 2019, Utah voids pre-default confessions only in employment and consumer credit contracts (Utah Code 78B-23-102), so a business obligation may be treated differently. Enforceability still depends on the documents and procedure followed. If your agreement has a New York choice-of-law or forum clause, that can also affect where and how a creditor tries to enforce it.
How long do I have to respond to an MCA lawsuit in Utah?+
In Utah state court, a defendant served within Utah generally has 21 days to answer, or 30 days if served outside Utah, under Utah R. Civ. P. 12(a). Deadlines can differ in federal court or in lawsuits filed in other states, such as New York. Check your summons carefully and act promptly, since missing the deadline may result in a default judgment.
Is the initial MCA review free for businesses in Utah?+
Yes. The MCA loan review or case evaluation is free, and no lawsuit or court case is required. Any later representation and fees would be addressed in a separate engagement agreement.
