Understand MCA UCC issues

Merchant Cash Advance Help for Washington Businesses

When a Washington business loses access to receipts during an MCA dispute, the first task is to identify whether the issue is a funder demand, processor hold, bank restraint or court order. Business Debt Law Group reviews the relevant notices with the MCA agreement and payment history. That distinction helps determine possible responses and avoids treating different restrictions as if they have one automatic solution.

Washington MCA UCC services are handled by the Department of Licensing

Washington’s Department of Licensing provides online UCC filing and search services, including searches when the filing number is unknown or the secured party’s name is available. Its guidance distinguishes free search results from document copies that may carry a fee. Use the relevant financing records alongside the notice affecting the business; a Secretary of State business-entity lookup serves a different purpose.

Identify the source and scope of the restriction

Request the written reason funds are unavailable, the party that requested the action and any order or notice relied on. Record which account or receivables are affected and when the restriction began. Counsel can assess urgency and potential relief. An attorney review does not itself release funds or prevent a scheduled withdrawal.

For more information, read our guide to MCA restructuring options. A merchant cash advance attorney can review how the issues relate to your agreements and circumstances.

Check the court named in the papers

If your Washington business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.

The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.

Already received court papers? Tell the attorney when you contact us. Requesting a review or negotiating with a funder does not itself extend a court deadline or stop collection activity.

How We Help

  • Reconciliation requests, withdrawal records and bank or processor notices help explain where cash flow is being interrupted.
  • Review alleged defaults, personal guarantees and the supporting MCA payment records.
  • Evaluate MCA UCC demands, bank or processor restrictions and potential responses where available.
  • Consider settlement or restructuring proposals in light of cash flow and the required release terms.
  • Assess MCA lawsuits, judgments and deadlines with appropriately admitted counsel.

"Understanding why receipts are unavailable is the first step toward evaluating an appropriate response."

What Happens When You Call Us

For MCA matters involving Washington businesses, the next step depends on the documents, payment situation and any pending legal action. Our review follows four stages.
1

Tell us what is happening

Explain the MCA payments, funder demands, or lawsuit affecting your Washington business. Flag any court deadline or restrained account. The initial MCA loan review or case evaluation is free; no lawsuit is required.
2

Review the documents

Review the agreements, withdrawals, guarantees, notices, and filing history, including any court papers, account restrictions, or disputed withdrawals. A review does not itself suspend payments or court requirements.
3

Discuss possible options

Assess the source of the restriction or dispute and consider contractual, negotiated or court-based options where available.
4

Agree on the work

If you hire the firm, the engagement sets out the scope, fees, and responsibility for court appearances or local-counsel involvement. Retained legal services have separate fees, explained before representation begins. Any outcome depends on the facts, applicable law, and creditor or court action.

Common Questions

MCA Debt: Frequently Asked Questions

Can I request help before I miss an MCA payment?+
Yes. Explain the total daily or weekly withdrawals and how they affect your business. Bring each agreement so the review considers the combined MCA obligations. A lawsuit or missed payment is not required to request a free review.
Where are Washington MCA UCC search services located?+
Washington’s Department of Licensing provides the state’s UCC search resources. Use the debtor, secured-party or filing information available, and obtain the relevant documents for review with the MCA agreement.
Are confessions of judgment enforceable in Washington?+
Washington law generally allows judgments by confession under RCW 4.60, but the debtor must sign a sworn written statement with specific details, and a superior court must find it sufficient before judgment is entered. Whether a particular confession holds up may depend on how it was prepared and filed. If your agreement has a New York choice-of-law or forum clause, that can also affect where and how a creditor tries to enforce it.
How long do I have to respond to an MCA lawsuit in Washington?+
In Washington superior court, a defendant served in the state generally has 20 days to answer under CR 12(a), and generally 60 days if personally served outside Washington. Deadlines can differ in federal court or in a lawsuit filed in another state, such as New York. Check the summons carefully and act promptly to avoid a possible default.
Is the initial MCA review free for businesses in Washington?+
Yes. The MCA loan review or case evaluation is free, and no lawsuit or court case is required. Any later representation and fees would be addressed in a separate engagement agreement.
How does BDLG handle MCA matters involving Washington?+
The initial review identifies the relevant parties, governing law and forum. Any representation follows an agreed engagement and applicable admission requirements. The review also addresses whether appropriately admitted local counsel is needed for the specific matter.
