Virginia has a dedicated sales-based financing law

Virginia Code Title 6.2, Chapter 22.1 addresses covered sales-based financing, including registration and disclosures. The statutory definition can include a fixed payment with a reconciliation process that adjusts to sales or revenue. The related regulations specify a disclosure form. Coverage and exemptions must be assessed for the particular transaction; the existence of a disclosure requirement does not establish the outcome of a private dispute.

Test the payment history against the reconciliation process

Bring the original disclosure, agreement and records of any request to adjust payments. Show the revenue figures submitted, the funder’s response and the actual debits before and after the request. These facts can help counsel evaluate how the arrangement operated and what legal or negotiated options may be available when revenue has changed.

Check the court named in the papers

If your Virginia business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.

The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.

Can I request help before I miss an MCA payment?+
Yes. Explain the total daily or weekly withdrawals and how they affect your business. Bring each agreement so the review considers the combined MCA obligations. A lawsuit or missed payment is not required to request a free review.
Does Virginia regulate merchant cash advances?+
Yes. Virginia's sales-based financing law (Va. Code § 6.2-2228 et seq.), effective July 1, 2022, generally requires MCA providers and brokers to register with the State Corporation Commission, requires cost disclosures, and makes confession-of-judgment clauses unenforceable. Exemptions apply, including for transactions over $500,000. Whether a violation helps in a particular dispute depends on the facts.
Are confessions of judgment enforceable in Virginia?+
Virginia generally allows confessed judgments (Va. Code § 8.01-431 et seq.), and a debtor may move to set one aside or reduce it within 21 days after notice (§ 8.01-433). However, for sales-based financing contracts entered on or after July 1, 2022, Virginia law makes confession-of-judgment provisions unenforceable (§ 6.2-2234). If your agreement has a New York choice-of-law or forum clause, that can also affect where and how a creditor tries to enforce it.
How long do I have to respond to an MCA lawsuit in Virginia?+
In Virginia circuit court, a defendant generally must file responsive pleadings within 21 days after service of the summons and complaint under Rule 3:8(a). Separately, a confessed judgment may be challenged by motion within 21 days after notice. Deadlines can differ in general district court, federal court, or out-of-state cases, so check your papers and act promptly.
