Colorado’s Secretary of State explains that UCC records and their attachments are public, although sensitive information may be redacted. The attachments can matter when a funder claims rights over receivables or other business assets. Obtain the actual filing and compare it with the signed collateral provisions and later amendments. Public availability of a document is not a court ruling on the funder’s position.

Document a revenue decline before a payment dispute grows

For example, a business with uneven monthly sales should keep a record of receipts, withdrawals, reconciliation requests and the funder’s responses. The review asks what the agreement actually requires and how the parties handled changing revenue. Do not assume a request alone changes the next debit or suspends a contractual obligation. A proposed payment adjustment should be documented clearly.

Check the court named in the papers

If your Colorado business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.

The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.

Are confessions of judgment enforceable in Colorado?+
Colorado prohibits confessions of judgment in consumer credit transactions (C.R.S. § 5-3-207), but that statute does not cover business obligations, and older Colorado case law recognized confessed judgments. Whether a particular MCA confession clause can be used against a Colorado business may depend on how it was signed and filed, and on the agreement's New York choice-of-law or forum clause. How long do I have to respond to an MCA lawsuit in Colorado?+
In Colorado district court, a defendant generally must file an answer or other response within 21 days after service under C.R.C.P. 12(a), or 35 days if served outside Colorado or by publication. Deadlines can differ, for example in federal court or if the funder sued in another state, such as New York. Check the summons for the stated deadline and act promptly to avoid a possible default.
