The Novac file
BDLG’s public Novac Equities document is a redacted stipulation of settlement bearing a court caption. It addresses withdrawal of a motion, a staged payment schedule and consequences for noncompliance. These are concrete terms that deserve attention before a business owner treats a negotiated number as the finish line.
Start by identifying the stage of your matter: a demand before suit, an active lawsuit, an existing judgment or negotiations over a stipulation. Then collect the related court papers and any MCA UCC or receivables notices. A proposed settlement must be considered alongside the proceedings and restrictions that already exist.
This guide uses the terms visible in the individual Novac example. It does not claim that every Novac agreement has the same conditions or that another merchant’s court position or result will match it.

The Novac stipulation goes beyond the $75,000 total.
The excerpt provides for $20,000 through a conditional release, followed by $5,000 installments until the settlement amount is paid. It also contains language providing for withdrawal of a defendant’s motion to dismiss and describing a higher amount, legal fees and other additions upon noncompliance. The excerpt alone does not establish what was subsequently filed or decided. The excerpt is not proof that payments were completed or that every claim and restriction was released.

Partial, redacted excerpt from one matter. Other pages, amendments and later events may affect these terms. This discussion does not summarize the complete agreement or case. Acceptance, completed payment, releases and the final outcome require verification from the complete records. This is not a standard offer or promised result. Past results do not guarantee a similar outcome.
Understand the consequences of a failed payment plan.
Before signing a stipulation, identify what is being admitted, withdrawn or released and whether those effects occur immediately or only after performance. Have counsel explain any provision allowing further judgment or enforcement if the arrangement is not completed. A lower settlement amount may be conditional rather than a permanent reduction from the first day.
The schedule itself also matters. The public Novac example specifies treatment of due dates falling on weekends or holidays. Read your own timing requirements carefully and compare them with dependable cash receipts. If an MCA-related customer or processor notice is disrupting those receipts, include it in the review rather than assuming the stipulation resolves it.
Where does your Novac matter stand?
MCA payments are too much
Review receipts, overlapping advances and any reconciliation request before committing to another arrangement.
Receivables or accounts are affected
Bring the actual MCA UCC, customer, processor or bank notice so the source and scope of the restriction can be assessed.
Court papers have arrived
Identify the court, parties, service details and response requirements promptly. Negotiations do not automatically extend a deadline.
Four practical first steps.
- Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
- Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
- Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
- Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
Novac MCA questions, answered.
Does signing a Novac stipulation automatically end the case?
Not necessarily. The agreement and any required court filings determine what happens and when. The example addresses a motion and payment obligations; it does not establish the later completion or disposition of every part of the matter.
Why does withdrawal of a motion matter?
A motion asks the court for particular relief. Agreeing to withdraw it can change the procedural position of the case. Have counsel explain that term together with the payment, default and release provisions before signing.
Is the $75,000 amount guaranteed to remain the total if payments are missed?
The example includes consequences for noncompliance and describes a higher amount and additional charges. Your terms must be reviewed individually. Do not assume a conditional settlement figure is the amount owed in every later circumstance.
Can you review receivables pressure along with the lawsuit?
Yes. Send any MCA UCC filing, customer demand, processor notice or account restriction together with the court papers. Different documents may require different responses, and none should be assumed resolved solely because settlement is being discussed.
