Understand MCA UCC issuesOregon’s Secretary of State recommends an expanded UCC search to help identify the debtor name before a standard search. It also distinguishes a self-service uncertified search from a certified search performed by the office. For an MCA matter, keep the search criteria and obtain relevant document copies. Different search methods can return different results, so a missing name is not conclusive proof that no related record exists.
Bring records of name changes, reorganizations and amendments to the MCA agreement. Identify which entity received the funds and which account made payments. If a funder claims the business breached a covenant by changing operations or accounts, preserve the related communications. If your Oregon business receives MCA court papers, check the court where the case was filed, each named defendant, and how and when the papers were served. The agreement’s forum and governing-law provisions also need review.
The deadline depends on the court, service, and applicable procedure. Do not assume your business’s home-state rules control a case filed elsewhere. Have the summons, complaint, and service details reviewed promptly.
