Harper Advance MCA lawsuit or a settlement letter from counsel?

Business Debt Law Group / MCA funder guide

A letter from a funder’s law firm can set new payment and litigation terms in a few paragraphs. Review the due dates, consequences of delay and any venue provision before treating it as a simple monthly-payment offer.

The Harper file

Harper Advance’s public application expressly refers to purchases of future receivables and MCA transactions. BDLG’s library contains a settlement letter stating that the sending law firm represents Harper Advance. The public excerpt does not identify every underlying contract term or complete legal-entity detail.

The letter conditions its proposed resolution on payment and says collection would cease after all described payments are made. It also addresses termination without notice after a late payment and includes a litigation-venue provision with the location redacted.

The funder’s counsel represents the funder. A business owner should obtain an independent review of the complete agreement, any guarantee and court papers, including whether the settlement changes rights or obligations beyond the monthly amount.

Monthly wires tied to timely receipt

Stated balance $12,566.66 / settlement terms $10,000

The letter states a $12,566.66 balance and describes $10,000 settlement terms with an initial $1,666.66 payment followed by monthly payments in that amount until paid in full. It conditions account closure and the end of collection on performance. It also says late receipt can terminate the arrangement without notice and make the original balance due. The final amount, complete schedule and any later changes require confirmation.

Check what the letter adds to the original agreement

Compare the settlement’s venue provision with the original contract and the court where any action is pending. The public copy’s location is redacted, so it cannot establish where another merchant would need to respond. Do not assume that where your business operates is the only place a dispute may proceed.

Use a payment calendar based on receipt requirements, not simply the day you request a wire. Ask about bank cutoffs, processing delays and the exact final installment. The stated recurring amount may require a final adjustment to reach the agreed total; obtain a written schedule rather than rounding on your own.

Distinguish an agreement to close an account after performance from confirmation that it has already closed. Ask what written acknowledgment, release or court filing would document completion in your matter. Continue monitoring any active case until counsel confirms the relevant deadlines or obligations have ended.

Before the next call or deadline

Four practical first steps.

  1. Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
  2. Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
  3. Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
  4. Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
