Libertas Funding Lawsuit or an MCA payment adjustment?
A lower remittance does not necessarily replace the original agreement or release its guarantor. A Libertas review should identify what changed, what remained in force and which funding product is involved.

The Libertas file
Libertas Funding describes revenue-based financing for businesses and separately discloses that its business term loans are issued by WebBank. The product named in your executed documents matters more than a general description of the Libertas brand.
In Libertas Funding LLC v. Ultimate Jet LLC (2022), a New York trial court rejected the argument that reconciled remittances created new agreements that extinguished the earlier obligations. It granted the funder's summary-judgment motion. This was a ruling on the documents in that case, not a BDLG settlement or a conclusion about every Libertas account.

- Product distinction
- Receivables financing and a WebBank business term loan should not be treated as interchangeable.
- Core issue
- Compare the original agreement, adjustment requests and any later signed modification.
- Public record
- Ultimate Jet concerned reconciliation and continuing obligations under particular agreements.
- Independent legal representation
- Business Debt Law Group is not affiliated with, endorsed by, or acting for Libertas Funding.
Separate an adjustment from a settlement or replacement contract.
Identify the document that changed the payment
Was the new amount confirmed through a contractual reconciliation, a temporary accommodation, or a signed modification? Keep the entire exchange, including attachments and any end date, so an attorney can evaluate the change accurately.
Track payments against the correct agreement
Where more than one advance or loan exists, assign each withdrawal and credit to its account. A lower combined debit does not by itself explain how the creditor allocated the money between agreements.
Check the guarantor's position
Collect the original guarantee and any express release or amendment. Do not assume a change in ownership, employment or payment amount also changed the guarantor's obligations.
Keep the adjustment record separate from the court deadline.
Organize the account chronologically: funding, changes in revenue, requests for adjustment, responses, revised withdrawals and any later demand. This makes it easier to distinguish a dispute about the payment calculation from a dispute about whether an accommodation was honored.
If a proposed resolution uses terms such as modification, forbearance or settlement, ask what each document actually does. The practical questions include which claims are resolved, whether a guarantee survives, how liens are addressed and what follows a missed payment.
Send any summons, motion or hearing notice for review even if servicing discussions continue. Bring the actual papers and date of receipt; this guide cannot establish the response deadline or current status of your case.
Four practical first steps.
- Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
- Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
- Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
- Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
Libertas questions, answered.
Is every Libertas agreement an MCA?
No. Its public disclosures also identify business term loans issued by WebBank. An attorney should identify the product and parties from your signed documents.
Does a smaller payment mean the earlier agreement is gone?
Not necessarily. Read the specific adjustment or modification rather than assuming the original obligation has been replaced.
Was Ultimate Jet a BDLG result?
No. It is a cited public court decision included to explain a document-review issue. It does not predict the result in another matter.
What if several Libertas agreements are involved?
Bring each agreement and its funding and payment history. A combined bank statement alone may not show which obligation received each credit.
What does the free case review cover?
The initial consultation can address your funding agreement, payment pressure, collection communications or case status. Any retained legal-service fees are separate and addressed in the engagement terms.
