An MCA is commonly structured around future business receipts, with collections taken daily or weekly. Some agreements use estimated withdrawals and a reconciliation process for adjusting collections to actual receipts.

For a legal review, the useful questions are what the agreement requires, what has actually been collected, and how the funder responded when receipts changed. Keep the agreement, debit history, and any reconciliation correspondence together.

What Is the Difference Between an MCA and a Loan?

An MCA is commonly structured as a purchase of future business receivables. Whether a particular transaction is legally a receivables purchase or a loan depends on its terms, operation, and the governing law. The label on the agreement does not decide the issue.

Review the payment calculation, reconciliation provisions, allocation of business risk, default terms, and personal guarantees. An MCA may also involve a security interest or MCA UCC filing; it should not be assumed to be collateral-free.

A factor rate describes a payment multiple and is not an annual percentage rate. The amount actually deposited, fees, timing of collections, and total obligation all matter when assessing the cost.

If a funder says you are in default

An alleged default can lead to payment demands, a lawsuit, or other collection activity, depending on the agreement and applicable law. Start with the actual notice, the provision the funder relies on, and the payment history. A dispute over the balance or default should be evaluated alongside any court deadline.

Bring guarantees, MCA UCC documents, and notices involving your bank, payment processor, or customers to the review. Discuss the possible consequences before deciding whether to stop payments, sign a new agreement, or accept a proposed settlement.

Regulation of Merchant Cash Advances

Merchant cash advances are subject to legal oversight. Depending on the state and transaction, requirements may address disclosures, provider or broker registration, and business conduct. The Federal Trade Commission has also brought MCA enforcement actions, including its 2022 Richmond Capital action.

It is not accurate to say that every MCA is exempt from all usury laws. Whether a transaction is treated as a loan, and whether a particular rate restriction or exemption applies, requires analysis under the governing law.

Confessions of Judgment Require Specific Review

A confession of judgment may permit entry of a judgment without the ordinary lawsuit process where the procedure is legally available. Its presence in paperwork does not establish that it can be used lawfully in a particular matter.

State restrictions differ. For example, Virginia’s sales-based financing law prohibits confessions of judgment in covered agreements. New York’s judgment-by-confession statute contains its own affidavit, residence, and filing requirements.

If a funder relies on a confession of judgment, obtain the signed documents, judgment, docket, and collection notices for prompt review. Ask counsel about the applicable restrictions, any available challenge, and deadlines.
