The Cedar file
Our redacted example names Cedar Advance, LLC and refers to a secured merchant agreement, security agreement and guaranty. It describes a settlement based on the merchant’s representations about its financial condition.
A separate Cedar agreement filed with the SEC in 2023 distinguishes the purchased receivables from estimated weekly payments and provides a reconciliation procedure. It is an example contract, not proof that your version has identical terms or that Cedar has accepted a request in your matter.

- Balance distinction
- $11,165.35 in undelivered receivables, compared with a larger original purchased amount.

A Cedar proposal uses the remaining receivables as its comparison.
The excerpt lists $52,465 in original purchased receivables, alleges $11,165.35 remained undelivered and states $7,500 in proposed settlement terms. Our published note describes six installments totaling $7,500. Acceptance and payment completion are not established by the excerpt; the comparison uses remaining receivables, not the original purchase amount.

Partial, redacted excerpt from one matter. Other pages, amendments and later events may affect these terms. This discussion does not summarize the complete agreement or case. Acceptance, completed payment, releases and the final outcome require verification from the complete records. This is not a standard offer or promised result. Past results do not guarantee a similar outcome.
Keep the adjustment request and the settlement offer distinct.
Section 4 of the cited 2023 Cedar contract requires a written reconciliation request with revenue records. It provides for pausing debits during reconciliation, a two-business-day completion period after proper notice and supporting documents, and adjustments if collections differ from the specified percentage. These are terms of that version, not a promise about the response to your request.
For your own review, preserve the request, attachments, delivery confirmation and Cedar’s response. Identify which revenue period was used and compare actual withdrawals with the contractual percentage. A request for reconciliation is different from an agreement to reduce the total amount in settlement.
The settlement example refers to financial-condition representations. Use accurate current records and clarify how an offer becomes binding, which parties must sign and what happens to the guaranty and security interest. Do not treat an unsigned proposal as permission to disregard existing obligations or deadlines.
Where does your Cedar matter stand?
MCA payments are too much
Bring actual revenue and debit records with the reconciliation provision from your own Cedar agreement.
Receivables or accounts are affected
Collect UCC notices and identify the receivables involved, along with any release provisions in the proposal.
Court papers have arrived
Keep negotiation emails with court papers; a pending proposal does not itself change the court calendar.
Four practical first steps.
- Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
- Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
- Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
- Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
Cedar MCA questions, answered.
Is reconciliation the same as debt settlement?
No. Reconciliation addresses collections relative to receipts under the agreement. A negotiated settlement can change the amount or other obligations and requires its own terms.
Does Cedar have to finish every request within two business days?
That period appears in the cited 2023 contract after proper notice and required information. Your operative agreement and the completeness of the request must be reviewed before applying it.
Was the $7,500 Cedar settlement completed?
The public excerpt does not establish acceptance or completion. It is presented as proposed terms, with those limitations stated.
Which Cedar amount should be compared with the proposal?
The library compares the $7,500 proposal with $11,165.35 in undelivered receivables, not the original $52,465 purchased amount. Mixing those figures would overstate the apparent reduction.
