Fratello Capital MCA lawsuit, UCC issue or a short settlement deadline?

Business Debt Law Group / MCA funder guide

A reduced payment amount does not tell you when a security interest ends or how much time you have to fix a missed installment. Those conditions deserve a close review before signing a Fratello settlement.

The Fratello file

The public settlement excerpt names Fratello Capital, LLC as purchaser under a receivables purchase agreement. It identifies sellers and a guarantor, whose details are redacted. Those roles should be matched to the parties and guarantees in your own documents.

The visible terms go beyond a payment schedule: they address notice of default by email, a short opportunity to cure, continuing security interests and UCC filings, and a release by the sellers. A reader should not assume that all releases or lien-termination obligations are reciprocal or immediate.

The document is one matter-specific example. It does not establish that every Fratello agreement contains these provisions, that a particular filing remains effective today, or that the merchant performed the settlement.

A payment schedule with a short cure provision

Uncollected purchased amount $25,625 / settlement terms $17,625

The excerpt states a $25,625 uncollected purchased amount and describes $17,625 settlement terms, with $1,500 initially and biweekly payments of $734.38. It says an uncured payment default following written email notice can make the original uncollected amount due, less payments made under the settlement. It also addresses continuing security interests and UCC filings. The complete agreement and subsequent records are needed to assess operation and completion.

Acceptance, completed payment, releases and the final outcome require verification from the complete records. This is not a standard offer or promised result. Notice / Cure / Collateral

The deadline after notice may matter more than the payment date alone

The example describes one day after receipt of a default notice to cure. That is a provision in this document, not a universal MCA rule or a court-response deadline. Confirm the notice address, what constitutes receipt, who monitors that mailbox and whether later written terms changed the requirement.

Separate a settlement’s payment concession from its collateral provisions. This excerpt preserves described security rights and addresses UCC filings while also setting a lower settlement amount. Ask what conditions govern termination or release, who must deliver the necessary documents and when third parties would receive them.

Review releases in both directions. The visible sellers’ release should not be treated as proof that the purchaser gave the same release at the same time. Identify the parties, claims and effective conditions in every release clause, including later pages, before assessing what rights remain.

Before the next call or deadline

Four practical first steps.

  1. Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
  2. Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
  3. Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
  4. Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
Questions about this funder

Fratello MCA questions, answered.

Is one day the rule for every Fratello default?

No. It is the cure period described in this public example. Your complete agreement and later changes must be reviewed.

Does a settlement automatically remove an MCA UCC filing?

Do not assume that. The excerpt addresses continuing security and filings; termination conditions require separate review.

Are biweekly and twice-monthly payments the same?

No. Every two weeks and twice in a calendar month produce different payment dates. Use the exact schedule in your agreement.

Does the seller’s release prove a mutual release took effect?

No. Each party’s release and its conditions need to be read separately, along with the complete file.

What does the free MCA review cover?

The initial consultation can address your MCA agreement, payment pressure, collection communications or case status. Consultations are free. Any retained legal-service fees are separate and addressed in the engagement terms.
