Vitalcap Fund MCA lawsuit or a claim that still needs closing?

The Vitalcap file

BDLG’s redacted document is a communication sent on behalf of Vitalcap Fund. It identifies a claim balance and a lump-sum settlement, with language addressing receipt of payment, a zero-balance letter and default. The sender’s full identity and other information are redacted, so the complete correspondence remains important.

Names can vary across a contract and a lawsuit. In Colonial Funding Network, Inc. v Long Island Hospitality Management, Inc., the caption identified Colonial as servicing provider for Vitalcap Fund Emerald Group, LLC. That identifies the roles in that specific proceeding; it does not establish the owner or servicing authority for every Vitalcap account.

The 2023 appellate decision vacated contempt orders because service did not comply with the earlier order’s required method and reversed the fee award. It also noted that the judgment had been satisfied. This was a ruling about particular enforcement steps, not a holding that the underlying MCA obligation automatically disappeared. The decision is separate from our settlement excerpt.

Read the condition attached to the zero-balance letter.

$10,856.30 stated balance / $4,000 lump-sum terms

The excerpt lists a $10,856.30 balance and a $4,000 lump-sum settlement. It states that receipt of the final payment will lead to the claim being treated as satisfied and a zero-balance letter being provided; it also includes language making the full balance due upon default. The image does not show whether payment was completed or the promised letter was issued.

Payment evidence and closing documents

Follow the paper trail from the offer to the account’s actual status.

First identify which agreement and claim the proposed payment resolves. If the business has multiple advances, similar dollar amounts or a familiar brand name are not enough to identify the account. Match the contract date, legal parties, account reference and current person authorized to accept payment.

Before a wire is sent, verify the instructions through a trusted channel and confirm how timely receipt is defined. Keep proof of delivery and the creditor’s acknowledgment. A bank confirmation that a wire was sent is useful evidence, but it is not the same document as confirmation that the intended claim has been satisfied.

Ask what happens after the last required payment: who issues the zero-balance letter, when it is due and which parties or claims it covers. If the matter includes a lawsuit, judgment, MCA UCC filing or account restriction, identify the separate documents and actions required for that issue. Do not assume that one account letter resolves every related record.

Court enforcement papers need prompt attention even if you dispute the balance or believe it was paid. Bring information subpoenas, orders, envelopes, delivery records and prior payment confirmations. Counsel can compare what was required with what actually occurred and evaluate the available response in the relevant court.

Before the next call or deadline

Four practical first steps.

  1. Check for a court deadline. If you received court papers, identify where the case is filed and when a response is due. Settlement discussions do not automatically extend a deadline.
  2. Put the records in one place.Collect the agreement, payment history, bank statements, and every notice. Preserve emails and texts, including any proposed settlement terms.
  3. Review a proposed change before signing.A new agreement, acknowledgment, release, or guarantee can affect your rights and obligations. Have its terms reviewed in context.
  4. Discuss a plan for your actual situation.Ask which legal or negotiation options fit the documents, cash flow, and litigation status—and what representation would cost.
Questions about this funder

Vitalcap MCA questions, answered.

Does paying the stated settlement amount automatically close every related record?

Do not assume so. The complete terms determine what is resolved and what further documents or actions are required. Confirm the account status and any separate lawsuit, judgment, MCA UCC filing or restraint.

Is a zero-balance letter the same as proof that a judgment was satisfied?

They serve different purposes. Have counsel identify the account confirmation and court documents appropriate to your matter rather than relying on the label of a single letter.

Can I ignore an information subpoena because I believe the MCA was paid?

No. Preserve proof of payment and have the subpoena and applicable deadlines reviewed promptly. A dispute about the account does not itself establish that a court-related demand can be disregarded.

Will Vitalcap offer the same lump-sum terms to my business?

This is one partial example, not a published settlement policy or an offer to other businesses. Any available resolution depends on your account and the circumstances.
